KEY ANNOUNCEMENTS
Third Age Health Services (TAH) announced that Chairman John Fernandes will become Executive Chairman following CEO Tony Wai’s departure in October, ensuring leadership continuity during the transition. Fernandes requested his executive remuneration be fully variable and linked to value creation, and the Board is finalising the structure. He will be deemed a non-independent director and step down from the Audit Committee, with Non-Executive Director Bevan Walsh appointed in his place.
Being AI Group (BAI) has been publicly censured and fined NZ$50,000 by the NZ Markets Disciplinary Tribunal for breaches of NZX Listing Rules following the January resignation of two independent directors, which left the board and audit committee non-compliant. The issues were self-reported and remedied in March with the appointment of three new independent directors. BAI, which also agreed to cover investigation costs, said it accepts full responsibility despite the circumstances.
